Terms of Service

Effective date: 1 March 2026

Please read these Terms carefully before using Navlyt. By using our platform you agree to be bound by them.

1. Acceptance

By creating an account or accessing the Navlyt platform, you agree to these Terms of Service ("Terms") on behalf of yourself and the organisation you represent. If you do not agree, do not use the platform. These Terms constitute a binding legal agreement between you ("Customer") and Brainfy AI Inc. ("Navlyt").

2. Eligibility and Accounts

You must be at least 18 years old and authorised to bind your organisation. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at support@navlyt.com if you suspect unauthorised access.

3. Subscription and Billing

Navlyt is offered under monthly or annual subscription plans as listed on our pricing page. Subscriptions renew automatically unless cancelled before the renewal date. Annual plans are non-refundable after 14 days. Monthly plans may be cancelled at any time; access continues through the current billing period. All prices exclude applicable taxes.

4. Free Trial

We may offer a 14-day free trial. A valid payment method is required to start a trial. The trial period is free. Unless you cancel before the trial ends, your paid subscription begins automatically at the end of the trial period and the plan fee for your selected plan and billing interval is charged to your payment method. You may cancel at any time during the trial from Settings, and you will not be charged. Trial data is retained for 30 days post-trial. We reserve the right to terminate trials at our discretion.

5. Acceptable Use

You may not: (a) use the platform for unlawful purposes; (b) reverse engineer, decompile, or attempt to extract source code; (c) resell or sublicense access without our written consent; (d) upload malicious code, conduct security attacks, or circumvent access controls; (e) scrape or systematically harvest data; or (f) use the platform in a way that infringes third-party intellectual property rights.

6. Customer Data

You own all compliance records, documents, and data you upload ("Customer Data"). You grant Navlyt a limited licence to store, process, and display Customer Data solely to provide the platform services. We do not use Customer Data to train machine learning models or share it with third parties except as described in our Privacy Policy or required by law.

7. Compliance Disclaimer

Navlyt provides tools to assist with compliance management. The platform does not constitute legal advice, regulatory advice, or a substitute for qualified aviation legal counsel. Regulatory interpretations provided by any AI or automated feature are informational only. Customers remain solely responsible for ensuring their operations comply with applicable regulations including FAA, Transport Canada, EASA, and equivalent authorities.

8. Intellectual Property

Navlyt and its licensors own all right, title, and interest in the platform, software, design, and content (excluding Customer Data). Nothing in these Terms transfers any Navlyt intellectual property to you. Feedback or suggestions you provide may be used by Navlyt without obligation.

9. Uptime and SLAs

We target 99.5% monthly uptime for the platform API and dashboard, excluding scheduled maintenance, force majeure events, and issues caused by third-party infrastructure. Scheduled maintenance will be announced with at least 24 hours notice via the status page. Enterprise plans include dedicated SLA commitments.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Navlyt's aggregate liability for any claim under these Terms will not exceed the fees paid in the 12 months preceding the claim. Navlyt is not liable for indirect, incidental, consequential, or punitive damages including lost profits, loss of data, or regulatory penalties arising from use of or inability to use the platform.

11. Indemnification

You agree to indemnify and hold harmless Navlyt from claims, damages, and expenses (including reasonable legal fees) arising from: (a) your violation of these Terms; (b) your Customer Data; (c) your use of the platform in violation of applicable law; or (d) your negligence or wilful misconduct.

12. Term and Termination

These Terms remain in effect while you maintain an account. Either party may terminate for material breach with 30 days written notice if the breach is not cured. We may suspend or terminate accounts for violations of the acceptable use policy immediately and without notice. Upon termination you may export Customer Data within 30 days after which it will be deleted.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Disputes not resolved informally within 30 days will be referred to binding arbitration under AAA Commercial Arbitration Rules. Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes

We may update these Terms with 30 days advance notice by email to the account administrator. Material changes take effect at the next renewal date unless you terminate before then. Continued use after the effective date constitutes acceptance.
